As with any business relationship, we need to make sure we both understand our respective responsibilities. By signing up for WebEDI, you are acknowledging that you agree with the following terms and conditions.

BY COMPLETING THIS SIGNUP PROCEDURE AND USING THE SERVICE, YOU ARE AGREEING TO THESE TERMS AND ANY AMENDED TERMS WHICH MAY BE POSTED ON THIS PAGE AS IF YOU WERE SIGNING A SERVICE AGREEMENT WHICH CONTAINS THEM. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND INDICATE WHETHER YOU ARE AUTHORIZED TO BIND YOUR COMPANY TO THESE TERMS AND CONDITIONS AND WHETHER YOUR COMPANY ACCEPTS AND AGREES TO THESE TERMS AND CONDITIONS.

WebEDI is a business-to-business electronic commerce service provided by Edict Systems, Inc. ("Edict Systems"). This service gives customers the ability to receive and send business documents electronically using the internet and a commercially available web browser. Persons who act on behalf of your Company ("Customer") will be subject to the following terms and conditions:

1. Charges and Payment
Customer will pay the charges agreed upon based on our pricing policy as posted in the pricing section of the WebEDI website. All prices quoted are in US Dollars (USD). Exchange rates must be applied when paying with other currency.

2. Subscription Fees
There is an initial account activation fee and an additional fee for adding support for trading partners. There is a monthly subscription fee and per document charges based on the volume of documents processed within a monthly period. In addition, there may be additional fees including, but not limited to, interconnect fees. Prices are exclusive of taxes and duties; Customer will pay any sales, use, excise, value added, utility or similar taxes that are applicable.

3. Credit Card Payment
Payment for services rendered via WebEDI must be made by a valid credit card that is acceptable to Edict Systems. Customer authorizes Edict Systems to charge Customer's specified credit card for amounts which become payable by Customer to Edict Systems under this Agreement.

4. Pricing Changes
Edict Systems reserves the right to change prices or institute new charges for access to or use of WebEDI at any time by notifying Customer at least thirty (30) days in advance via email or by posting changes on the WebEDI website. Customer is responsible for reviewing pricing information posted on the website regularly to obtain timely notice of such changes. Continued use of WebEDI after changes are posted constitutes acceptance by Customer of the prices as modified by the posted changes.

5. Customer Responsibility
Customer is responsible for all charges resulting from use of WebEDI and for providing and maintaining the necessary computer equipment, computer software, and communications services required for accessing and using WebEDI.

6. Refund
If you believe you made a payment in error, please contact us at 800-443-3428.

7. Delivery
Payments are generally reflected on your account within 48 to 72 hours.

8. Term of this Agreement
This Agreement will continue until terminated by either party upon thirty (30) days prior notice to the other. Edict Systems may terminate this Agreement without notice in the event that payment by Customer is not made.

9. Amendments
Edict Systems may change this Agreement at any time by informing Customer via email or by posting the changes on the WebEDI website. Customer is responsible for regularly reviewing information posted on the website to obtain timely notice of such changes. Continued use of the service after changes are posted constitutes acceptance by the Customer of this Agreement as modified by the posted changes.

10. Limited Warranty
Edict Systems warrants that WebEDI will perform substantially as specified in the online service description. This warranty applies only to failures to meet the warranty that are reported to Edict Systems in writing within thirty (30) days after the date of the failure. Customer will cooperate fully and provide such information as is necessary for Edict Systems to verify the failure. If any failure that is attributable to Edict Systems is not corrected within a reasonable period of time, Edict Systems' sole obligation and Customer's exclusive remedy shall be the charges paid by the Customer for the particular service affected by the failure and a credit will be issued to the Customer.

NO OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, APPLY TO THE SERVICE. EDICT SYSTEMS DOES NOT WARRANT THAT THE SERVICE WILL MEET SUBSCRIBER'S REQUIREMENTS OR THAT USE AND OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. SUBSCRIBER IS RESPONSIBLE FOR TAKING APPROPRIATE PRECAUTIONS AGAINST DAMAGE TO ITS OPERATIONS WHICH COULD BE CAUSED BY DEFECTS, INTERRUPTIONS, OR MALFUNCTIONS OF THE SERVICE AND ASSUMES THE RISK OF SUCH OCCURRENCES. EDICT SYSTEMS DOES NOT WARRANT THE AVAILABILITY, ACCURACY, COMPLETENESS, TIMELINESS OR USEFULNESS OF ANY INFORMATION OR MATERIALS ACCESSED BY USE OF THE SERVICE. CUSTOMER IS RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY ITS PARTICULAR REQUIREMENTS FOR ACCURACY OF DATA INPUT AND OUTPUT, AND FOR MAINTAINING A MEANS EXTERNAL TO THE SERVICE FOR THE RECONSTRUCTION OF ANY LOST DATA.

11. General
Continued use of the service constitutes continuing acceptance of these terms and conditions. Customer will hold Edict Systems and all subsidiaries and suppliers of Edict Systems harmless against any liability, costs, or damages arising out of claims or suits. This Agreement will be governed by the laws of the State of Ohio. This Agreement contains the complete and exclusive agreement of the parties with respect to the matters covered. No waiver, alteration or modification of any of the provisions of this Agreement will be binding unless made by mutual agreement and in writing.

12. Privacy Policy
Edict Systems is committed to protecting your privacy. You acknowledge that we may receive certain private and confidential information in connection with your use of the signup pages. Edict Systems reserves the right to publish our customers' company names in electronic and/or print publications. We will not rent, sell, or otherwise make available to any third party for any reason any of your private and confidential information that personally identifies you or your credit card other than to comply with applicable laws or regulations, including government agency or court orders, unless you otherwise expressly agree.

If you choose to send us email that includes personal information, we will generally use the information only to respond to your message and for no other purposes. Occasionally, however, we may forward your email to a different department that may be better able to help you. Your email address may also be entered on your account for future reference and for correspondence purposes by Edict Systems’ staff. We do not use the information to create personal profiles or give it to others for commercial use or other purposes. If you send us a threat or a message that describes or promotes unlawful activity, we may share it with law enforcement authorities.

This website currently does use "cookies" (the simple text files stored on your computer by your web browser that are used for application purposes and as part of the authentication process). No sensitive information is stored in these cookies.

You agree that you will not intentionally provide false information when accessing or using our signup web pages.

The signup web pages have security measures in place to protect against the loss, misuse, or alteration of the information you provide. Our server software conforms to industry standards utilizing Secure Socket Layer (SSL) technology, which is among the best software available for securing commerce transactions.

Edict Systems’ website may contain links to third party websites. When you link to an outside website, you are no longer on our site and are subject to privacy and other practices of the new site. Edict Systems is not responsible for the practices or content of these or any other sites.
